LiveTube \u901a\u904e\u6211\u5011\u7684\u8a31\u53ef\u670d\u52d9\u70ba\u5a92\u9ad4\u7d44\u7e54\u3001\u5ee3\u64ad\u516c\u53f8\u548c\u51fa\u7248\u5546\u63d0\u4f9b\u5c0d\u9ad8\u54c1\u8cea\u3001\u7cbe\u9078\u7684\u73fe\u5834\u9304\u50cf\u7684\u8a2a\u554f\u3002\u9019\u4e9b\u689d\u6b3e\u6982\u8ff0\u4e86\u8a31\u53ef\u5167\u5bb9\u7684\u6b0a\u5229\u3001\u9650\u5236\u548c\u5141\u8a31\u7684\u7528\u9014\u3002 <\/p>\n\n

\u5f9e LiveTube \u8a31\u53ef\u5167\u5bb9\uff0c\u5373\u8868\u793a\u60a8\u540c\u610f\u9075\u5b88\u9019\u4e9b\u689d\u6b3e\u3002\u8acb\u4ed4\u7d30\u95b1\u8b80\u5b83\u5011\uff0c\u77ad\u89e3\u5982\u4f55\u5728\u4e0d\u540c\u5e73\u53f0\u548c\u5a92\u9ad4\u4e0a\u5408\u6cd5\u5730\u4f7f\u7528 LiveTube \u7d20\u6750\u3002 <\/p>\n\n

DEFINITIONS<\/strong><\/h2><\/div>\n\n

\u201c\u5ee3\u544a\u4f7f\u7528<\/strong>\u201d\uff1a\u6307\u5c07\u8996\u983b\u7d0d\u5165\u4f5c\u54c1\u4e26\u901a\u904e\u5ee3\u544a\u6d3b\u52d5\u5229\u7528\u8996\u983b\u7684\u6b0a\u5229\u3002<\/p>\n\n

\u201c\u5354\u5b9a<\/strong>\u201d\uff1a\u4e0a\u8ff0\u8a02\u55ae\u4ee5\u53ca\u672c\u6587\u6a94\u4e2d\u5305\u542b\u7684\u8207\u670d\u52d9\u548c\u8a31\u53ef\u76f8\u95dc\u7684\u6a19\u6e96\u689d\u6b3e\u548c\u689d\u4ef6\u3002<\/p>\n\n

\u201cAll Media\u201d: <\/strong>means the right to incorporate the Footage in the Production and exploit the same by unlimited transmissions in all media<\/p>\n\n

\u201c\u5ee3\u64ad\u4f7f\u7528<\/strong>\u201d\uff1a\u662f\u6307\u5c07\u8996\u983b\u7d0d\u5165\u4f5c\u54c1\u4e2d\uff0c\u4e26\u901a\u904e\u5728\u96fb\u8996\u983b\u9053\u4e0a\u901a\u904e\u5730\u9762\u3001\u6709\u7dda\u6216\u885b\u661f\u65b9\u5f0f\u9032\u884c\u7121\u9650\u6b21\u50b3\u8f38\u4e26\u5728\u96fb\u8996\u983b\u9053\u4e0a\u5229\u7528\u8a72\u8996\u983b\u7684\u6b0a\u5229\u3002 For the avoidance of doubt distribution of the Production by any other means including by the internet or any mobile platform requires additional consents and clearances.<\/p>\n\n

\u201c\u4f01\u696d\u4f7f\u7528<\/strong>\u201d\uff1a\u6307\u4ee3\u8868\u516c\u53f8\u5c07\u8996\u983b\u7d0d\u5165\u88fd\u4f5c\u4e26\uff08\u514d\u8cbb\uff09\u5229\u7528\u8996\u983b\uff0c\u901a\u904e\u516c\u53f8\u6f14\u793a\u3001\u5167\u90e8\u57f9\u8a13\u8996\u983b\u3001\u5167\u90e8\u5c55\u793a\u7247\u6216\u5167\u90e8\u7db2\u7ad9\u5411\u54e1\u5de5\u3001\u53d7\u9080\u5ba2\u6236\u6216\u806f\u7e6b\u4eba\uff08\u4f46\u4e0d\u5411\u516c\u773e\uff09\u5206\u767c\u6216\u5c55\u793a\u7684\u6b0a\u5229\u3002<\/p>\n\n

\u201c\u6559\u80b2\u7528\u9014<\/strong>\u201d\uff1a\u6307\u5c07\u8996\u983b\u7d0d\u5165\u4f5c\u54c1\u4e26\u901a\u904e\u4ee5\u4e0b\u65b9\u5f0f\u5229\u7528\u8996\u983b\u7684\u6b0a\u5229\uff1a (i) selling the Production to schools, colleges and universities; (ii) using the Production in internal Government communications; and (iii) exhibiting the Production in museums, galleries or zoos.<\/p>\n\n

\u7d20\u6750<\/strong>\u201c\uff1a\u7531\u6240\u6709\u8005\u63d0\u4f9b\u7684\u6709\u8072\u6216\u7121\u8072\u7684\u52d5\u614b\u5716\u7247\uff0c LiveTube \u6388\u4e88\u88ab\u8a31\u53ef\u65b9\u8a31\u53ef\u3002<\/p>\n\n

\u201cIntellectual Property Rights<\/strong>\u201d: database rights, design rights, moral rights, the rights in and to patents, trademarks, service marks, trade names and service names, copyright rights, know-how and trade secrets, and all rights or forms of protection of a similar nature or having similar effect, now existing or hereafter arising.<\/p>\n\n

\u201c\u8a31\u53ef<\/strong>\u201d\uff1a LiveTube \u6388\u4e88\u88ab\u8a31\u53ef\u65b9\u4f7f\u7528\u8996\u983b\u7684\u8a31\u53ef\uff0c\u5982\u672c\u6a19\u6e96\u689d\u6b3e\u548c\u689d\u4ef6\u7b2c 1 \u689d\u6240\u8ff0\u3002<\/p>\n\n

\u201c\u88ab\u8a31\u53ef\u65b9<\/strong>\u201d\uff1a\u4e0a\u8ff0\u8a02\u8cfc\u55ae\u4e2d\u8a73\u8ff0\u7684\u7c3d\u8a02\u672c\u5354\u8b70\u7684\u500b\u4eba\u3001\u516c\u53f8\u6216\u5be6\u9ad4<\/p>\n\n

\u201c\u8a31\u53ef\u8cbb<\/strong>\u201d\uff1a\u6839\u64da\u4ee5\u4e0b\u7b2c 7\u300117 \u548c 18 \u689d\uff0c\u88ab\u8a31\u53ef\u65b9\u70ba\u5728\u6307\u5b9a\u4f5c\u54c1\u4e2d\u4f7f\u7528\u8996\u983b\u7247\u6bb5\u800c\u5411 LiveTube \u652f\u4ed8\u7684\u8cbb\u7528\uff08\u6309\u6bcf\u5206\u9418\u3001\u6bcf\u79d2\u6216\u6bcf\u500b\u526a\u8f2f\uff0c\u6216\u901a\u904e\u7d04\u5b9a\u7684\u8a2d\u65bd\uff09\u3002<\/p>\n\n

\u6750\u6599\u201c<\/strong>\uff1a\u8207\u8996\u983b\u76f8\u95dc\u7684\u93e1\u982d\u6e05\u55ae\u548c\/\u6216\u6587\u672c\u63cf\u8ff0\uff08\u5982\u6709\uff09\u3002<\/p>\n\n

\u201c\u65b0\u5a92\u9ad4\u4f7f\u7528<\/strong>\u201d\uff1a\u6307\u5c07\u8996\u983b\u7d0d\u5165\u4f5c\u54c1\u4e26\u901a\u904e\u5728\u65b0\u5a92\u9ad4\u5e73\u81fa\uff08\u7db2\u7ad9\u3001\u535a\u5ba2\u3001\u793e\u4ea4\u5a92\u9ad4\u7b49\uff09\u4e0a\u7121\u9650\u5236\u50b3\u8f38\u4f86\u5229\u7528\u8996\u983b\u7684\u6b0a\u5229\u3002\uff08\u4e0d\u5305\u62ec\u5287\u9662\u4f7f\u7528\u548c\/\u6216\u5ee3\u544a\u4f7f\u7528\uff09\uff0c\u7121\u8ad6\u662f\u73fe\u5728\u5df2\u77e5\u7684\u9084\u662f\u4ee5\u5f8c\u767c\u660e\u7684\u3002<\/p>\n\n

\u201c\u6240\u6709\u8005<\/strong>\u201d\uff1a\u5ee3\u64ad\u516c\u53f8\u3001\u88fd\u4f5c\u516c\u53f8\u3001\u516c\u53f8\u3001\u5176\u4ed6\u5be6\u9ad4\u548c\/\u6216\u500b\u4eba\uff0c\u5176\u8996\u983b\u5df2\u63d0\u4f9b\u7d66 LiveTube \uff0c\u4e26\u5df2\u6388\u4e88 LiveTube \u4ee3\u8868\u4ed6\u5011\u5411\u88ab\u8a31\u53ef\u65b9\u6388\u4e88\u8996\u983b\u8a31\u53ef\u7684\u5ee3\u64ad\u516c\u53f8\u3001\u88fd\u4f5c\u516c\u53f8\u3001\u516c\u53f8\u3001\u5176\u4ed6\u5be6\u9ad4\u548c\/\u6216\u500b\u4eba\u3002<\/p>\n\n

\u201cOwners Marks<\/strong>\u201d: each relevant Owner\u2019s trademarks, service marks, trade names or service names.<\/p>\n\n

\u201cLiveTube<\/strong>\u201d\uff1a LiveTube Limited \u662f\u8996\u983b\u7684\u8a31\u53ef\u65b9\u6216\u4ee3\u8868\u8996\u983b\u7684\u6240\u6709\u8005\u884c\u4e8b\u3002<\/p>\n\n

\u9650\u5236\u201c<\/strong>\uff1a\u5c0d\u4efb\u4f55\u8996\u983b\u5c08\u6848\u7684\u7279\u5b9a\u9650\u5236\uff0c\u9650\u5236\u88ab\u8a31\u53ef\u65b9\u4f7f\u7528\u8a72\u8996\u983b\u5c08\u6848\uff0c\u4e26\u5728\u672c\u5354\u5b9a\u4e2d\u901a\u904e\u670d\u52d9\u6216\u5176\u4ed6\u65b9\u5f0f\u7531 LiveTube \u50b3\u9054\u7d66\u88ab\u8a31\u53ef\u65b9\u3002<\/p>\n\n

\u201cLiveTube \u6a19\u8a8c<\/strong>\u201d\uff1a LiveTube \u7684\u5546\u6a19\u3001\u670d\u52d9\u6a19\u8a8c\u3001\u5546\u54c1\u540d\u7a31\u6216\u670d\u52d9\u540d\u7a31\u3002<\/p>\n\n

\u201c\u670d\u52d9<\/strong>\u201d\uff1a LiveTube \u5411\u88ab\u8a31\u53ef\u65b9\u63d0\u4f9b\u7684\u8996\u983b\u7247\u6bb5\u3002<\/p>\n\n

\u201cTheatrical Use<\/strong>\u201d: means the right to incorporate the Footage in the Production and exploit the Production by general theatrical film release together with the right to exploit the Production by unlimited transmissions in all other media whether now known or hereafter invented. Promotional use of the Footage is not included.<\/p>\n\n

USE OF THE SERVICE & FOOTAGE<\/strong><\/h2><\/div>\n\n
    \n
  1. \u5728\u672c\u5354\u5b9a\u671f\u9650\u5167\uff0cLiveTube \u7279\u6b64\u6388\u4e88\u88ab\u8a31\u53ef\u65b9\u975e\u6392\u4ed6\u6027\u3001\u4e0d\u53ef\u8f49\u8b93\u3001\u4e0d\u53ef\u518d\u8a31\u53ef\u7684\u6b0a\u5229\uff0c\u4ee5\u6839\u64da\u672c\u5354\u5b9a\u7684\u689d\u6b3e\uff0c\u50c5\u901a\u904e\u5c07\u5176\u7d0d\u5165\u4f5c\u54c1\u4f86\u4f7f\u7528\u8996\u983b\uff0c\u4e26\u50c5\u5728\u5be6\u73fe\u6b64\u985e\u4f7f\u7528\u6240\u5fc5\u9700\u7684\u60c5\u6cc1\u4e0b\u88fd\u4f5c\u548c\u5b58\u5132\u8996\u983b\u7684\u5167\u90e8\u526f\u672c\u3002 (ii) Subject to any Restrictions, the Licensee may adapt and modify the Footage as necessary for it to produce finished material for the Production, which may include editing the Footage for length to combine it with other content, provided that the Licensee does not alter or distort the editorial meaning of the Footage. The Licensee will identify itself as the source of any voiceover or translation. (iii) The Licensee must comply with any Restrictions. Restrictions accompanying any particular item(s) of Footage are binding in the same way as any other provision of this Agreement. (iv) Upon expiry or termination of the Service, the Licensee acknowledges that it will no longer receive any Footage owned by the Owners and, subject to sub-article \uff08v\uff09 \u5728\u4e0b\u6587\u4e2d\uff0c\u88ab\u8a31\u53ef\u65b9\u61c9\u5728\u670d\u52d9\u7d42\u6b62\u540e\u4e09\u5341 \uff0830\uff09 \u5929\u5167\u7acb\u5373\u522a\u9664\u5176\u5f9e LiveTube \u6536\u5230\u7684\u4efb\u4f55\u8996\u983b\u3002 (v) Subject to article 3 below, the Licensee may continue to store, display and perform in perpetuity an item of Footage that has been incorporated into the Publication, solely within the context of such original incorporation. \u672a\u7d93 LiveTube \u4e8b\u5148\u660e\u78ba\u66f8\u9762\u540c\u610f\uff0c\u88ab\u8a31\u53ef\u65b9\u4e0d\u5f97\u525d\u96e2\uff08\u5168\u90e8\u6216\u90e8\u5206\uff09\u7d0d\u5165\u4f5c\u54c1\u4e2d\u7684\u8996\u983b\uff0c\u4ee5\u91cd\u65b0\u63d0\u4f9b\u6216\u91cd\u8907\u4f7f\u7528\uff08\u6216\u5141\u8a31\u4efb\u4f55\u5176\u4ed6\u500b\u4eba\u6216\u5be6\u9ad4\u91cd\u65b0\u63d0\u4f9b\u6216\u91cd\u8907\u4f7f\u7528\uff09\u8996\u983b\u3002<\/li>\n\n\n\n
  2. Ownership of and all Intellectual Property Rights in the Footage and the Owners Marks: (i) will remain the sole property of the relevant Owners, their affiliates or their licensors; and (ii) are hereby reserved by the relevant Owners, their affiliates or their licensors. Ownership of all Intellectual Property Rights in the LiveTube Marks and any content provided by LiveTube: (a) will remain the sole property of LiveTube, its affiliates or its licensors; and (b) are hereby reserved by LiveTube, its affiliates or its licensors. Subject to the foregoing, all Intellectual Property Rights in the Production will remain the sole property of the Licensee. \u88ab\u8a31\u53ef\u65b9\u61c9\u7acb\u5373\u901a\u77e5 LiveTube\u5176\u767c\u73fe\u7684\u4efb\u4f55\u4fb5\u6b0a\u6216\u5a01\u8105\u4fb5\u72af\u4efb\u4f55\u64c1\u6709\u8005\u6216 LiveTube \u7684\u667a\u6167\u8ca1\u7522\u6b0a\u7684\u884c\u70ba\uff0c\u4e26\u4e14\u88ab\u8a31\u53ef\u65b9\u5c07\u5c31 LiveTube \u6216\u8a72\u7b49\u64c1\u6709\u8005\u6216\u64c1\u6709\u8005\u7684\u8ca1\u7522\u5411 LiveTube \u6216\u8a72\u7b49\u64c1\u6709\u8005\u6216\u64c1\u6709\u8005\u63d0\u4f9b\u5408\u7406\u7684\u5354\u52a9\uff0c\u4ee5\u89e3\u6c7a\u6b64\u985e\u4fb5\u6b0a\u884c\u70ba\u3002<\/li>\n\n\n\n
  3. \u88ab\u8a31\u53ef\u65b9\u5c07\u5728\u8996\u983b\u4e2d\u63d0\u4f9b\u52a0\u6c34\u5370\/\u71d2\u9304\u7684\u4fe1\u7528 \u300cLiveTube\u300d\uff0c\u4e26\u5728 LiveTube \u7279\u5225\u5efa\u8b70\u7684\u60c5\u6cc1\u4e0b\uff0c\u5728\u4f5c\u54c1\u7684\u7247\u5c3e\u5b57\u5e55\u548c\u8996\u983b\u653e\u6620\u6642\u5728\u87a2\u5e55\u4e0a\u5411\u64c1\u6709\u8005\u63d0\u4f9b\u4fe1\u7528 (ii) The Licensee acknowledges that the Owners have complete editorial freedom in the form and content of the Footage, and may alter the Footage from time to time, even after the Licensee has received or used the Footage. Such alterations may include corrections and withdrawals. \u5728\u6536\u5230 LiveTube \u7684\u901a\u77e5\u5f8c\uff0c\u88ab\u8a31\u53ef\u65b9\u5c07\u76e1\u4e00\u5207\u5408\u7406\u52aa\u529b\u66f4\u65b0\u4f5c\u54c1\u4e2d\u51fa\u73fe\u7684\u8996\u983b\u7247\u6bb5\uff0c\u6216\u8005\u5728\u64a4\u56de\u7684\u60c5\u6cc1\u4e0b\uff0c\u6839\u64da\u5c0f\u7bc0\u7684\u898f\u5b9a\u66f4\u65b0 (iii) below, to immediately remove it from the Production. (iii) It is acknowledged that it may be commercially unreasonable or practical for the Licensee to remove Footage from the Production where the Production relates to certain media (for example television and film productions) and the Footage has been incorporated into the Production prior to notice. In this circumstance, the Licensee will use reasonable efforts to comply with the withdrawal(s).<\/li>\n\n\n\n
  4. The Licensee shall not sell, transfer, sub-licence, allow any third party to use or permit any lien to attach upon any Footage or exhibit any Footage otherwise than in accordance with this Agreement. For avoidance of doubt this Agreement allows for the Licensee to distribute and sublicense the Production.<\/li>\n\n\n\n
  5. \u88ab\u8a31\u53ef\u65b9\u4e0d\u5f97\u4ee5\u4efb\u4f55\u53ef\u80fd\u640d\u5bb3 LiveTube \u6216\u64c1\u6709\u8005\u7684\u5546\u8b7d\u6216\u8072\u8b7d\u7684\u65b9\u5f0f\u4f7f\u7528\u8996\u983b\u3002\u88ab\u8a31\u53ef\u65b9\u5c07\u8ce0\u511f\u4e26\u4f7f LiveTube \u548c\u64c1\u6709\u8005\u514d\u53d7\u56e0\u88ab\u8a31\u53ef\u65b9\u4f7f\u7528\u670d\u52d9\u548c\/\u6216\u8996\u983b\u800c\u5f15\u8d77\u7684\u4efb\u4f55\u548c\u6240\u6709\u7d22\u8ce0\u7684\u640d\u5bb3\u3002 <\/li>\n\n\n\n
  6. LiveTube \u4e0d\u901a\u904e\u672c\u5354\u5b9a\u5141\u8a31\u6216\u6388\u6b0a\u88ab\u8a31\u53ef\u65b9\u5f9e\u4efb\u4f55\u653f\u5e9c\u6216\u570b\u969b\u689d\u7d04\u4e2d\u6536\u53d6\u6216\u6536\u53d6\u7b2c\u4e09\u65b9\u5c31 LiveTube \u5c0d\u4efb\u4f55\u8996\u983b\u7684\u81ea\u8eab\u6b0a\u5229\u652f\u4ed8\u7684\u4efb\u4f55\u6b3e\u9805\uff0c\u9019\u4e9b\u6b3e\u9805\u4f86\u81ea\u4efb\u4f55\u653f\u5e9c\u6216\u570b\u969b\u689d\u7d04\u5141\u8a31\u3001\u6388\u6b0a\u6216\u4ee5\u5176\u4ed6\u65b9\u5f0f\uff08\u5305\u62ec\u540c\u6b65\u8f49\u64ad\u3001\u975e\u5ee3\u64ad\u9304\u88fd\u3001\u7a7a\u767d\u78c1\u5e36\u7a05\u7b49\uff09\u4f7f\u7528\u53ef\u80fd\u4f7f\u7528\u526a\u8f2f\u7684\u4f5c\u54c1\u3002<\/li>\n\n\n\n
  7. The Licence Fee is payable in any event and non-refundable once the Licensee has received Footage in broadcast quality. This shall apply irrespective of whether the Licensee uses the Footage. For the avoidance of doubt the Licence Fee relating to an Agreed Facility is payable in full and non-refundable in any event irrespective of whether the Licensee chooses to use the Footage or not.<\/li>\n\n\n\n
  8. No refunds or reductions to the Licence Fee shall be granted should the Licensee subsequently require fewer rights than those specified in the \u201cUsage Rights\u201d section of the order form above.<\/li>\n\n\n\n
  9. The Licensee shall provide a final usage declaration showing actual use of Footage within the Production immediately following final edit of the Production. \u5982\u679c\u88ab\u8a31\u53ef\u65b9\u5728\u8996\u983b\u4ea4\u4ed8\u5f8c\u516d\u5341 \uff0860\uff09 \u5929\u5167\u6216\u4e0a\u8ff0\u8a02\u8cfc\u55ae\u4e2d\u5546\u5b9a\u548c\u6307\u5b9a\u7684\u5176\u4ed6\u671f\u9650\u5167\u672a\u63d0\u4f9b\u6b64\u985e\u4f7f\u7528\u8072\u660e\uff0cLiveTube \u4fdd\u7559\u5411\u88ab\u8a31\u53ef\u65b9\u6536\u53d6\u53cd\u6620\u6240\u63d0\u4f9b\u8996\u983b\u7e3d\u91cf\u7684\u91d1\u984d\u7684\u6b0a\u5229\u3002<\/li>\n\n\n\n
  10. Payment of the Licence Fee only grants those rights as specified in this Agreement. \u5728\u5176\u4ed6\u5730\u5340\u3001\u5176\u4ed6\u5a92\u9ad4\u5e73\u81fa\u4e0a\u6216\u8d85\u904e\u672c\u5354\u8b70\u898f\u5b9a\u671f\u9650\u7684\u6642\u9593\u6bb5\u5c0d\u4f5c\u54c1\u9032\u884c\u4efb\u4f55\u5176\u4ed6\u5229\u7528\u7684\u884c\u70ba\u5fc5\u9808\u63d0\u524d\u8207 LiveTube \u9032\u884c\u8a31\u53ef\uff0c\u4e26\u9700\u8981\u652f\u4ed8\u9069\u7576\u7684\u8a31\u53ef\u8cbb\u3002<\/li>\n\n\n\n
  11. LiveTube \u4fdd\u8b49\u5176\u64c1\u6709\u7c3d\u8a02\u672c\u5354\u5b9a\u548c\u6388\u4e88\u8a31\u53ef\u7684\u5168\u90e8\u8a31\u53ef\u6b0a\u3002 It further warrants that the Owners either own and\/or control the Intellectual Property in the Footage. \u4f46\u662f\uff0c LiveTube \u548c\u64c1\u6709\u8005\u5747\u4e0d\u4f5c\u4efb\u4f55\u4fdd\u8b49\uff0c\u4e5f\u4e0d\u4f5c\u4efb\u4f55\u9673\u8ff0\uff1a (i) in respect to the Footage and any accompanying content. The Footages is provided on an \u201cas is\u201d and \u201cas available\u201d basis and expressly disclaims any warranties, express or implied, as to the merchantability and fitness for a particular purpose; (ii) that the Footage will be uninterrupted, error-free, free from viruses or harmful components, accurate, timely provided, reliable or correct; and \uff08iii\uff09 \u8207\u4e0d\u5c6c\u65bc LiveTube \u548c\/\u6216\u64c1\u6709\u8005\u64c1\u6709\u6216\u63a7\u5236\u7684\u4efb\u4f55\u5176\u4ed6\u6b0a\u5229\u6709\u95dc\uff0c\u5305\u62ec\u4f46\u4e0d\u9650\u65bc\u97f3\u6a02\u6b0a\u3001\u85dd\u4eba\u6b0a\u3001\u8868\u6f14\u6b0a\u3001\u8096\u50cf\u6b0a\u3001\u8996\u983b\u4e2d\u63cf\u8ff0\u7684\u500b\u4eba\u6b0a\u5229\u4ee5\u53ca\u9053\u5fb7\u6b0a\u5229\u3002 The Licensee shall be solely responsible for clearing any such rights and for obtaining any clearances, consents and permissions that may be required to use the Footage within the Production. The publication of certain Footage may not be lawful in all jurisdictions. The Licensee is responsible for determining whether a particular item of Footage and its use in the Production complies with applicable law. The Licensee acknowledges that reliance upon the Footage is at the Licensee\u2019s own risk.<\/li>\n\n\n\n
  12. \u6839\u64da\u4e0a\u8ff0\u7b2c 1 \u689d\uff0c\u8a72\u8a31\u53ef\u662f\u975e\u6392\u4ed6\u6027\u7684\uff0c LiveTube \u6709\u6b0a\u5c07\u8996\u983b\u8a31\u53ef\u7d66\u88ab\u8a31\u53ef\u65b9\u4ee5\u5916\u7684\u4efb\u4f55\u5176\u4ed6\u4eba\u3001\u516c\u53f8\u6216\u516c\u53f8\u3002<\/li>\n\n\n\n
  13. \u672c\u5354\u5b9a\u9805\u4e0b\u7684\u6240\u6709\u8cbb\u7528\u5747\u61c9\u63d0\u524d\u652f\u4ed8\uff0c\u9664\u975e\u88ab\u8a31\u53ef\u65b9\u8207 LiveTube \u6709\u55ae\u7368\u7d04\u5b9a\u7684\u4fe1\u8cb8\u5b89\u6392\uff0c\u5728\u9019\u7a2e\u60c5\u6cc1\u4e0b\uff0c\u61c9\u5728 LiveTube \u5411\u88ab\u8a31\u53ef\u65b9\u63d0\u4ea4\u767c\u7968\u540e\u4e09\u5341 \uff0830\uff09 \u5929\u5167\u4ee5\u767c\u7968\u4e2d\u6307\u5b9a\u7684\u8ca8\u5e63\u4ed8\u6b3e\u3002<\/li>\n\n\n\n
  14. All payments made by the Licensee under this Agreement shall be made gross of any tax, duty, bank charge or other deduction.<\/li>\n\n\n\n
  15. LiveTube strives to deliver Footage in a timely manner, but accepts no responsibility for any delayed delivery arising because of any failure of a courier company, or any other external factors beyond the control of LiveTube. In the event of a delivery failure attributable to LiveTube, LiveTube\u2019s liability shall be the limited to the value of the Licence fee and to the transfer charges relating to the Footage requested for supply. <\/li>\n\n\n\n
  16. LiveTube \u4fdd\u7559\u5728\u4f5c\u54c1\u6700\u7d42\u7de8\u8f2f\u540e\u8981\u6c42\u6b78\u9084\u63d0\u4f9b\u7d66\u88ab\u8a31\u53ef\u65b9\u7684\u4efb\u4f55\u6bcd\u7248\u7684\u6b0a\u5229\u3002 The Licensee shall not store the Footage for future use.<\/li>\n\n\n\n
  17. \u6839\u64da\u8981\u6c42\uff0c\u88ab\u8a31\u53ef\u65b9\u61c9\u7acb\u5373\u5411 LiveTube \u63d0\u4f9b\u4f5c\u54c1\u7684\u89c0\u770b\u526f\u672c\u3002<\/li>\n\n\n\n
  18. This Agreement shall be construed and interpreted under and in accordance with the laws of England and Wales.<\/li>\n\n\n\n
